Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you and Strata Sports LLC (“Strata,” “we,” “us,” or “our”) governing your access to and use of the Strata player-development platform, websites, and applications (collectively, the “Services”). By creating an account or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Eligibility and Accounts
You must be at least 18 years old to create an account. Players who are minors access the Services through an account created or authorized by their club or by a parent or guardian, who is responsible for the minor’s use of the Services. You are responsible for the accuracy of the information in your account, for keeping your login credentials confidential, and for all activity that occurs under your account.
2. The Services
Strata is a mastery-based player-development platform that clubs, coaches, players, and parents use to record and track soccer player development — including skill evaluations, level progress, training programs, film review, and related tools. We may add, change, or remove features at any time. The Services are provided for player development and do not constitute coaching certification, medical advice, or any guarantee of athletic outcome.
3. Roles and Club Administration
Strata is made available to clubs and organizations that administer player development. Accounts are assigned roles — such as administrator, coach, player, or parent/guardian — that determine what each user can see and do. Your club controls which users are associated with it, what information is recorded about its players, and the permissions that govern access to that information. Your use of the Services may also be subject to your club’s own policies.
4. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose or in violation of these Terms;
- Access data or accounts you are not authorized to access, or attempt to circumvent permissions or security;
- Upload content that is unlawful, harmful, harassing, or that infringes another person’s rights;
- Misuse another player’s personal, health, or identity information;
- Interfere with, disrupt, or place undue load on the Services or attempt to reverse engineer them.
5. User Content
The Services let users submit content such as evaluations, notes, messages, video links, photographs, and documents (“User Content”). You retain ownership of the User Content you submit. You grant Strata a non-exclusive, worldwide license to host, store, display, and process your User Content solely to operate and provide the Services. You are responsible for the User Content you submit and represent that you have the rights and any necessary consents to submit it, including consent to upload another person’s information.
6. Player Data and Club Responsibility
Clubs and the parents or guardians who provide information are responsible for entering and managing player information, for obtaining any consent required to do so (including parental consent for players under 13), and for configuring the permissions that control who within the club may access it. Strata processes player information on behalf of clubs and is not responsible for a club’s decisions about how it collects, configures access to, or uses that information.
7. Privacy
Our Privacy Policy explains how we collect, use, and protect personal information, including the information of players under 13. By using the Services, you acknowledge the practices described in the Privacy Policy.
8. Subscriptions and Payment
Some features of the Services are offered on a paid basis. If you purchase a paid plan, you agree to pay the fees described at the time of purchase. Unless stated otherwise, fees are billed in advance and are non-refundable except where required by law. We may change pricing prospectively, and we will provide notice of changes that affect an active subscription.
9. Intellectual Property
The Services, including their software, design, the Strata name and logo, and the player-development framework and content we provide, are owned by Strata and protected by intellectual-property laws. Except for the rights expressly granted to you to use the Services, we reserve all rights. You may not copy, modify, distribute, or create derivative works from the Services without our permission.
10. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any evaluation or score will accurately predict athletic performance or development.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, STRATA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, USE, OR GOODWILL, ARISING OUT OF YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE OR ONE HUNDRED U.S. DOLLARS ($100).
12. Indemnification
You agree to indemnify and hold Strata harmless from claims, damages, and expenses (including reasonable attorneys’ fees) arising out of your User Content, your use of the Services, or your violation of these Terms or of another person’s rights.
13. Dispute Resolution and Governing Law
These Terms are governed by the laws of the State in which Strata Sports LLC is organized, without regard to its conflict-of-laws rules. The parties will attempt to resolve disputes informally first. Any remaining dispute will be resolved as set out here, and you and Strata each agree to bring claims only in an individual capacity and not as part of a class action.
The specific dispute-resolution mechanism (including whether disputes are subject to binding arbitration) and the governing jurisdiction are to be finalized with counsel.
14. Termination
You may stop using the Services at any time. We may suspend or terminate your access if you violate these Terms or if necessary to protect the Services or other users. Provisions that by their nature should survive termination — including ownership, disclaimers, limitation of liability, and indemnification — will survive.
15. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the effective date above and, where appropriate, provide additional notice. Your continued use of the Services after an update means you accept the revised Terms.
